Nyxoah מגייסת 3 מיליון דולר מהנפקת מניות בשוק

 Nyxoah SA  (נאסד"ק/יורונקסט בריסל: NYXH) ("Nyxoah" או "החברה"), חברת טכנולוגיות רפואיות שמתמקדת בפיתוח ומסחור של פתרונות ושירותים חדשניים לדום נשימה חסימתי בשינה (OSA), הודיעה היום כי החברה גייסה 3.0 מיליון דולר בתמורה ברוטו בהתאם לתוכנית החברה בסך 50 מיליון דולר בשוק ("ATM") שהוקמה ב-22 בדצמבר 2022 במחיר הנפקה השווה למחיר השוק בשוק העולמי של נאסד"ק בעת המכירה. המניות נרכשו על ידי בעלת המניות ההיסטורית של Nyxoah, Cochlear Limited, והתמורה תשמש למטרות תאגידיות כלליות.

המניות הרגילות שתוארו לעיל נמכרו בהתאם להצהרת רישום המדף של החברה בטופס F-3  (תיק מס' 333-268955), שהוגש בעבר לרשות לניירות ערך ("SEC") ביום 22 בדצמבר 2022, שנכנס לתוקף ביום 6 בינואר 2023, ותוספת לתשקיף מיום 6 בינואר 2023 והתשקיף הנלווה שהגישה החברה ל- SEC בקשר עם ההצעה והמכירה של המניות המשותפות של החברה בהתאם להון העצמי המבוקר ולהסכם מכירה מניות מבוקרת להנפקה, מיום 22 בדצמבר 2022 עם קנטור פיצג'רלד ושות', כסוכן מכירות ([email protected]).
