Nyxoah מגישה הצהרת רישום מדף ומכריזה על תוכנית הנפקת מניות בשוק

Nyxoah SA (נאסד"ק/יורונקסט בריסל: NYXH) ("Nyxoah" או "החברה"), חברת טכנולוגיות רפואיות שמתמקדת בפיתוח ומסחור של פתרונות ושירותים חדשניים לדום נשימה חסימתי בשינה (OSA), הודיעה היום כי הגישה הצהרת מדף בסך 200 מיליון דולר בטופס F-3 ("הצהרת הרישום") לרשות ניירות הערך האמריקנית ("SEC"). לאחר שהוכרזה כאפקטיבית על ידי ה-SEC, הצהרת הרישום תאפשר לחברה למכור, מעת לעת, עד 200 מיליון דולר בשווי מצטבר של מניותיה המשותפות, מניות הבכורה, ניירות ערך חוב, כתבי אופציה ו/או יחידות. הצהרת הרישום נועדה לספק לחברה גמישות לגישה להון נוסף כאשר תנאי השוק מתאימים.
כמו כן, התקשרה החברה בהסכם מכר ("הסכם המכר") עם קנטור פיצג'רלד ושות' ("Cantor"), כסוכן מכירות, לפיו החברה רשאית למכור מניות רגילות חדשות בעלות מחיר הצעה מצרפי של עד 50 מיליון דולר ("המניות המוצעות") מעת לעת באמצעות הנפקה "בשוק" ("ATM"). מספר המניות המוצעות בפועל שיונפקו, אם בכלל, יהיה תלוי בקביעת החברה, על פי שיקול דעתה הבלעדי, לבצע מכירות ובמחיר למניה של כל מכירה כאמור. עם זאת, מספר המניות המוצעות לא יעלה על 6 מיליון מניות. המניות המוצעות יימכרו במחיר מכירה למניה מוצעת השווה למחיר השוק הדולרי הנוכחי של המניה הרגילה של Nyxoah בשוק העולמי של נאסד"ק במועד המכירה הרלוונטית.
קנטור רשאית למכור מניות מוצעות בכל שיטה המותרת על פי חוק הנחשבת כהצעה "בשוק" כהגדרתה בכלל 415 של חוק ניירות הערך משנת 1933, כפי שתוקן, לרבות, ללא הגבלה, מכירות שבוצעו ישירות בבורסת נאסד"ק, בכל שוק מסחר קיים אחר בארה"ב עבור המניות הרגילות, או אל או באמצעות עושה שוק. מכיוון שהמניות המוצעות יימכרו במחירי השוק השוררים בעת המכירה, מחירי המכירה עשויים להשתנות. לא יבוצעו מכירות של מניות מוצעות בבלגיה או באמצעות יורונקסט.
